Corporate Identifiers: 🇨🇦 BN: 791892613 | 🇺🇸 EIN: 98-1906505 | 🇬🇧 UK: 16666993
Governing Jurisdiction: Province of Ontario, Canada
Regulatory Framework: Canadian Electronic Commerce Act (CECA); Personal Information Protection and
Electronic Documents Act (PIPEDA); Canada Evidence Act.
1. CORPORATE MANDATE: MANDATORY DIGITAL EXECUTION
Bizoso Consulta Canada operates as a 100% paperless, digital-first administrative infrastructure. We do not utilize physical paper, wet-ink signatures, or in-person document handovers. Electronic consent and digital signatures are a mandatory prerequisite for utilizing our services. By accessing our portal, remitting payment, or uploading data, the Client explicitly agrees to conduct all business transactions exclusively through electronic means.
2. LEGAL EQUIVALENCY & ENFORCEABILITY (CECA)
Under the Canadian Electronic Commerce Act (CECA) and provincial statutes in Ontario, electronic signatures carry the exact same legal validity, weight, and enforceability as traditional handwritten signatures.
- Binding Nature: The Client acknowledges that their electronic consent is legally binding and fully enforceable in any Canadian or international court of law.
- Waiver of Physicality: The Client irrevocably waives any legal right to challenge the validity of any agreement with Bizoso Consulta on the sole basis that it was executed or delivered electronically.
3. MECHANISMS OF BINDING CONSENT
Bizoso Consulta utilizes "Clickwrap" and "Signature-Capture" technologies to lock in Client consent. The Client acknowledges that the following digital actions constitute a legally binding electronic signature:
- Financial Execution: Entering payment details and clicking "Pay," "Complete Order," or "Remit" to clear a Bizoso Consulta invoice. Payment constitutes absolute acceptance of the terms attached to that transaction.
- Clickwrap Agreement: Checking a box marked "I Agree to the Terms & Conditions" or "I Consent" within the CRM portal.
- Electronic Typing: Typing a legal name into a designated digital signature field.
- Digital Metadata: The act of uploading identity documents or responding to case manager directives within the secure portal.
4. NON-REPUDIATION & THE DIGITAL AUDIT TRAIL
To prevent "Friendly Fraud" and malicious chargebacks, Bizoso Consulta enforces a strict Non-Repudiation Protocol under the Canada Evidence Act.
- Cryptographic Tracking: Every digital action taken by the Client is logged with unalterable metadata, including the Client’s Public IP Address, geographic location (GPS), device fingerprint (OS/Browser), and a precise UTC cryptographic timestamp.
- Evidentiary Standard: The Client concedes that this CRM-generated audit trail is primary, court-admissible evidence. In the event of a payment dispute or legal claim, Bizoso Consulta will utilize this audit trail to prove the Client’s specific presence, consent, and execution of the contract.
5. SECURITY & DATA INTEGRITY (PIPEDA)
Consistent with PIPEDA, Bizoso Consulta deploys bank-grade security to protect the integrity of electronic signatures:
- Encryption: All electronic records and signatures are encrypted during transmission (TLS 1.3) and at rest within our secure servers.
- Tamper-Evidence: Our digital logs are engineered to be tamper-evident; any unauthorized attempt to alter a signed electronic record will be instantly flagged by our internal security protocols.
6. CLIENT RESPONSIBILITIES & CREDENTIAL SECURITY
- Authorized Use: Only the Client or an authorized corporate officer may execute digital signatures. Any signature executed through a Client’s portal account is legally presumed to have been made by the Client.
- Credential Protection: The Client is solely responsible for maintaining the security of their portal login credentials. Bizoso Consulta is not liable for unauthorized signatures resulting from the Client’s failure to secure their own email or portal password.
7. REVOCATION OF CONSENT & THE "FINANCIAL TRAP"
While the Client has the right to revoke consent to use electronic signatures under PIPEDA, doing so mid-service has severe financial consequences.
- Immediate Service Cessation: Revoking consent for digital execution effectively terminates the service contract, as Bizoso Consulta does not possess the infrastructure to process physical, non-digital files.
- No Refund for Abandonment: Because our digital labor is consumed instantly upon file opening, revoking consent mid-service is classified as Client-Initiated Abandonment. As per our Master Refund Policy, all fees paid to date will be 100% forfeited as Liquidated Damages.
8. RETENTION OF ELECTRONIC RECORDS
To comply with the Canada Revenue Agency (CRA) and FINTRAC, Bizoso Consulta retains all electronically signed records, invoices, and consent logs for a mandatory period of seven (7) years. These records serve as the permanent legal proof of the commercial relationship.
9. GOVERNING LAW & DISPUTE RESOLUTION
Any dispute regarding the validity of an electronic signature or digital record will be governed exclusively by the laws of the Province of Ontario, Canada. The Client agrees that any such dispute must be heard exclusively in the courts of Toronto, Ontario.
10. BINDING ACKNOWLEDGMENT
By remitting payment, accessing the Bizoso portal, or clicking "I Agree," the Client confirms they have the requisite technology to access electronic records and explicitly consents to be legally bound by this Master Consent & E-Sign Policy.
